Terms of Use

1. Eligibility

You must be at least 13 years old to use the Services. By using the Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. Permitted Use and Restrictions

You may use the Services only for lawful, personal, and non-commercial purposes, and in accordance with these Terms. You agree not to:

• •Attempt to gain unauthorized access to any part of the Services or related systems
• •Interfere with or disrupt the Services or servers

2A. Community Standards and Content Moderation

To maintain a safe and welcoming environment, you further agree not to engage in the following prohibited conduct:

• •Harassment, bullying, threats, or targeted abuse of other users
• •Posting or sharing sexually explicit, violent, discriminatory, hateful, or otherwise harmful content
• •Impersonation of other users, public figures, or Setly Labs personnel
• •Spamming, scamming, or distributing malicious software
• •Using the Services to promote illegal or harmful activities
• •Uploading, saving, or sharing content that infringes the copyrights, trademarks, or other intellectual property rights of any third party, including brand product photography reproduced without authorization

We reserve the right to suspend or permanently ban accounts that violate these standards. Users may report inappropriate content or behavior directly through the app or by contacting us. All reports will be reviewed within 24 hours, and appropriate action will be taken at our discretion.

3. Intellectual Property

All content and materials on the Services—including text, graphics, logos, icons, images, software, and other materials—are the property of Setly Labs or our licensors, protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any content without our express written consent.

Third-party trademarks, brand names, logos, and product imagery that appear within the Services are the property of their respective owners. Setly Labs claims no rights over such content and has no commercial relationship with any brand whose products may appear in user-generated content on the Services. The appearance of any brand or product within the Services does not imply endorsement of, sponsorship of, or partnership with Setly Labs.

4. User Submissions and License

Any text, images, photos, or other materials you upload, post, or submit through the Services constitute "User Content." You represent and warrant that you have all necessary rights to submit User Content, that it does not violate any third-party intellectual property rights (including copyrights and trademarks), and that any product imagery you upload has been independently sourced or personally photographed and is not reproduced from brand marketing materials, lookbooks, campaign imagery, or press photography without authorization.

By submitting User Content, you grant Setly Labs a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, distribute, and create derivative works of your User Content in connection with operating, improving, and promoting the Services. This license continues for as long as your User Content remains on the Services and terminates upon deletion, except to the extent your User Content has been shared with other users or incorporated into the Services in a way that cannot reasonably be reversed.

4A. DMCA and Copyright Takedown Policy

Setly Labs respects the intellectual property rights of others and expects users to do the same. If you believe that content on the Services infringes your copyright, please submit a written notice to our designated DMCA agent containing: (1) a description of the copyrighted work you claim has been infringed; (2) a description of where the allegedly infringing content is located within the Services; (3) your contact information; (4) a statement that you have a good-faith belief that the use is not authorized by the copyright owner; (5) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf; and (6) your physical or electronic signature. We will respond to valid takedown notices within 24 hours. Users who repeatedly submit infringing content are subject to permanent account termination.

5. AI and Machine Learning

You acknowledge and agree that Setly Labs may use data collected through the Services, including User Content, in accordance with our Privacy Policy (available at https://closetclash.com/privacy-policy), to train and improve artificial intelligence and machine learning models that support and enhance our Services and future innovations.

6. Third-Party Services and Links

The Services may include links to third-party websites or tools. Setly Labs does not control and is not responsible for third-party content or practices. Your interactions with third-party services are solely between you and those third parties and governed by their terms.

The Services may display product listings and imagery sourced from third-party affiliate feeds and platforms. Setly Labs does not host, own, or endorse these products or the brands associated with them. Product availability, pricing, and accuracy are the sole responsibility of the originating retailer or affiliate platform. Setly Labs may receive compensation when users interact with affiliate links, but this does not affect the neutrality of the Services or imply any brand partnership.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. SETLY LABS DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SETLY LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF $100 OR THE AMOUNT YOU PAID TO USE THE SERVICES.

9. Indemnification

You agree to defend, indemnify, and hold harmless Setly Labs and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• •Your violation of these Terms
• •Your violation of any rights of another

10. Modifications to the Terms

We may update these Terms from time to time. If material changes are made, we will post the updated Terms on this page and, if required by law, notify you by email. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Monmouth County, New Jersey for any dispute arising out of or relating to these Terms or the Services.

12. Miscellaneous

• •Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Setly Labs regarding your use of the Services.
• •Severability: If any provision is held invalid, the remaining provisions remain in effect.
• •No Waiver: Failure to enforce any provision of these Terms does not waive our right to enforce them later.
• •Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may freely assign these Terms.

13. Virtual Currency and In-App Purchases

The Services may offer virtual currency ("Gems") that can be purchased with real money or earned through in-app activities, as well as other in-app purchases, including permanent upgrades, power-ups, and other digital items or features ("Other Purchases"). Gems and Other Purchases have no real-world monetary value, cannot be transferred between accounts, cannot be redeemed for cash, and are not refundable except where required by applicable law. Gems are used solely to unlock features within the Services, and Other Purchases entitle you only to the specified digital items or features within the Services. Neither Gems nor Other Purchases confer ownership of any third-party product, brand, or intellectual property. All purchases of Gems and Other Purchases are final. Setly Labs reserves the right to modify, suspend, or discontinue virtual currency features, in-app purchases, and any associated digital items or features at any time.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may stop using the Services at any time. Upon termination, your right to use the Services ceases immediately. We may, but are not obligated to, delete your User Content and account data following termination.
